Service Agreement

1. Parties

Service Provider: Trace Veil Forensics

Client: [Client Company Name]

This Service Agreement ("Agreement") is entered into between Trace Veil Forensics ("Provider") and the client ("Client") for cybersecurity consulting services.

2. Services

Provider delivers remote cybersecurity consulting services including but not limited to:

• Security assessments and vulnerability scanning
• Incident response and digital forensics
• IT solutions and infrastructure support
• Security training and awareness programs

3. Payment Terms

• 50% deposit required before work begins
• Balance due upon completion or monthly for retainers
• Payment via M-Pesa or bank transfer
• Invoices sent electronically

5. Confidentiality

Both parties agree to protect confidential information shared during the engagement. This includes:

• Client systems, data, and security configurations
• Assessment findings and reports
• Business and technical information

This obligation continues for 2 years after the engagement ends.

6. Scope of Work

Work scope is defined in project proposals or statements of work. Provider will:

• Deliver services as outlined in the agreed scope
• Communicate progress and any scope changes
• Provide written reports and recommendations

Client will:

• Provide access to systems as needed
• Respond to inquiries promptly
• Make decisions on recommendations within reasonable time

7. Warranties

Provider warrants:

• Services performed professionally and according to industry standards
• Recommendations based on current best practices
• Confidential handling of client information

No guarantees: Security is an ongoing process. Provider does not guarantee that all vulnerabilities will be found or that breaches will not occur.

8. Liability Limitations

• Provider's total liability is limited to fees paid for the specific engagement
• Provider is not liable for lost profits, business interruption, or indirect damages
• Client implements security recommendations at their own risk
• Provider is not responsible for third-party products or services

9. Termination

Either party may terminate with 14 days written notice.

Client pays for work completed up to termination date.

Immediate termination possible for breach of agreement or illegal activity.

10. Indemnification

Client agrees to indemnify Provider for:

• Use of services for illegal purposes
• Failure to implement security recommendations
• Claims arising from client's business activities

Provider agrees to indemnify Client for:

• Provider's negligence in service delivery
• Breach of confidentiality by Provider
• Claims arising from Provider's misconduct

11. Force Majeure

Neither party is responsible for failures due to circumstances beyond their control, including natural disasters, government actions, internet outages, or third-party service failures.

12. Dispute Resolution

Disputes will first be addressed through good-faith negotiation. If unresolved, disputes will be handled through mediation or binding arbitration under Kenyan law.

13. Entire Agreement

This Agreement, along with project proposals and quotes, represents the entire agreement between parties. Any amendments must be in writing and signed by both parties.
